You retain all rights, including all copyrights, to your manuscripts and ebooks.
Publishing on Pronoun is non-exclusive, which means that you can publish your ebooks elsewhere while you’re working with us. (One exception: you may not sell your ebooks on retailers where we are already distributing them on your behalf.)
You decide what and when to publish with us, and you can stop publishing with us at any time. Even after we distribute your ebooks to retailers, you still retain all rights to your ebooks and the underlying manuscripts. You can edit your manuscripts and their associated details whenever you want, and we will communicate those change requests to retailers to the best of our ability.
When you publish on Pronoun, you choose one or more retailers where we’ll distribute your book. You may choose to have us sell your books on any or all of Amazon, Apple iBooks, Barnes & Noble, Kobo, and/or Google Play. You may, alternatively, choose to sell your books on any of those retailers through other means, as long as you are not already distributing the same books to those retailers through Pronoun. You give us permission to act as distributor for your ebooks to those retailers you select for distribution by Pronoun. You authorize us to distribute the ebooks to those retailers, through our own accounts and/or through those of our affiliated companies, for sale throughout the world. For any retailers we distribute your book to, you understand that we will act as the sole seller for your ebooks on those retailers.
All books published on Pronoun must be sold on Amazon, however they do not need to be distributed to Amazon through Pronoun. If you have already distributed your book to Amazon through other means, you can opt-out of Amazon distribution through Pronoun. However, if your book is later removed from Amazon, you must either redistribute the book yourself to Amazon, authorize Pronoun to start selling on Amazon, or remove your book entirely from Pronoun. This restriction is unique to Amazon; you can opt-out of distribution to Apple iBooks, Barnes & Noble, Kobo, and Google Play at will.
The .epub and .mobi files we create for you are yours to keep. However, while you are working with us, you agree not to upload your files to retailers where we are distributing on your behalf. If you request to remove your ebooks from our distribution accounts, we will honor that request as soon as possible (usually within five business days), and the .epub and .mobi files will still be yours to do with as you please.
While you are working with us, you are welcome to distribute your books to retailers other than Amazon, Apple iBooks, Barnes & Noble, Kobo, and Google Play on your own terms, separate from Pronoun. If we part ways, you are welcome to publish with any third party without restriction.
Pronoun’s distribution rates apply to sales of your ebooks. You can review a full listing of those distribution rates here. We pay you what’s left after deducting the applicable distribution rate in United States Dollars (minus the fees charged by our third-party payment processor, as described below). Our distribution rates are inclusive of the commissions that retailers take from your sales.
You understand that we use a third-party payment processor to pay you, aka PayPal. You acknowledge and understand that this processor charges a processing fee, which we pass on to you. PayPal’s fee structure is explained here.
International payments will be adjusted for relevant taxes as well as currency exchange rates. You acknowledge and understand that we pay you after retailers pay us, which is usually 30-60 days after the end of a given month. You understand that your payments are based on actual sales numbers, not the estimated numbers that show up on your sales tracking page on Pronoun. In order to ensure proper and timely payment to you, please keep all of your contact information accurate, current, and complete.
If for whatever reason you stop doing business with us, or we stop doing business with you, or a retailer stops doing business with you or us, we’ll send you remaining payments for sales made before the effective termination date, and that will be that.
For each of your ebooks, we will provide you with an ISBN free of charge. Once an ISBN is assigned to your ebook, it cannot be transferred to any other book, per the terms of Bowker, the United States ISBN agency.
Also per the terms of Bowker, whoever buys an ISBN is automatically listed as the Publisher of Record, so you understand that Pronoun will be listed as the Publisher of Record for your assigned ISBN. This designation has virtually no practical consequence and in no way affects your rights, which are unequivocally yours.
Additionally, again per the terms of Bowker, you agree to use Pronoun-issued ISBNs only for the publication of ebooks on Pronoun. This means you will not use a Pronoun-issued ISBN for any other purpose, and that if you "unpublish" from Pronoun and decide to publish elsewhere, you will need a new ISBN.
If you prefer, you are welcome to use an ISBN you provide yourself.
When you publish on Pronoun, you assure us that:
Pronoun cannot take any responsibility - or incur any liability - in connection with the contents of your manuscripts or ebooks or any of your acts or omissions. As noted in greater detail in our general Terms of Use, you need to indemnify us for these types of issues, which is a formal way of saying you will resolve any problems raised by third parties concerning these matters.
Pronoun also cannot be responsible for the formatting of your ebooks. You understand that we do not alter the contents of your manuscripts after you upload them for conversion to .epub and .mobi files.
You agree that it is your responsibility to consult and adhere to the formatting guidelines we provide in order to create a final ebook that is free of extra spaces, improperly styled chapter titles, etc. You understand that you are solely responsible for previewing and approving the files we create for you and that we will distribute only after your approval. You agree that it is your sole responsibility to conduct a thorough proofread, and you understand that Pronoun cannot be responsible for any errors your ebooks contain. (Although if you find errors after you publish, you can always correct them.)
Also, we cannot be responsible for making your ebooks bestsellers, although we will certainly do what we can to help you along the journey.
When you publish on Pronoun, you grant us the ability to convert your manuscripts into ebooks, distribute those ebooks to retailers on your behalf, collect payment from those retailers on your behalf, and pay you as described in greater detail in the section titled “Pronoun’s distribution rates and your net earnings.”
You grant us the ability to reproduce and display portions of each of your ebooks (including the title and any artwork they contain) and your name for the purpose of generally promoting you, your books, and Pronoun. For example, we may choose to feature you or your work on our website.
You acknowledge and understand that you’re responsible for any taxes associated with income you earn from the sales of your ebooks. You understand that we can’t be held responsible for improper taxation of the money you make from selling your ebooks.
We or our payment processor may be required to report payments you receive to taxing authorities as required by tax laws and regulations. For this purpose, you will provide us with an appropriate tax identification number (SSN or EIN) upon request.
The term of this agreement begins upon your acceptance of it and will continue until it is terminated:
You may terminate this agreement without penalty at any time by sending a written notice of termination or cancelling your account on Pronoun.
We reserve the right to terminate this agreement or cease distributing any or all of your ebooks without penalty at any time, although we will notify you in writing before we cancel your account.
Upon termination, we will stop distributing your ebooks and promptly give notice to the retailers to remove listings and cease sales of your ebooks. Please be aware that some retailers may need some administrative time to process our termination notice, so they may not immediately stop selling your ebooks after receiving our notice. Also, we and the retailers may fulfill any customer orders for your ebooks pending as of the date of termination. And, once a purchaser has purchased one of your ebooks through one of the retailers, he or she retains the right to access and re-download the ebook even after our agreement with you has terminated or our agreement with the retailer has terminated.
Pronoun and our services will change over time, and the terms of this agreement will need to change as well.
We reserve the right to change the terms of this agreement at any time. We will give you notice of the changes by posting new terms in place of the old ones.
Changes to this agreement will be effective immediately upon notice. Please keep in mind that if you don't like any change, you are free to terminate the agreement at any time.
